1. Agreement to Terms

By accessing or using the Pied Piper Group website, platform, mobile applications, or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Pied Piper Group LLC ("PPG," "we," "our," or "us"), a company organized under the laws of the State of Illinois, with its principal place of business at 700 Commerce Dr, Suite 5070, Oak Brook, IL 60523.

2. Eligibility

To use our Platform, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Platform under any applicable law
• Reside in a jurisdiction where our services are available

By using the Platform, you represent and warrant that you meet all eligibility requirements. If you are using the Platform on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Security

When you create an account on our Platform, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the confidentiality and security of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately at [email protected] of any unauthorized use of your account or any other security breach

We reserve the right to suspend or terminate your account if any information provided is inaccurate, misleading, or incomplete, or if we suspect unauthorized access or use.

4. Platform Services

PPG operates an ownership infrastructure platform that facilitates residential and commercial property ownership. Our Platform provides property listings, qualification tools, ownership calculators, application processing, and related services. The Platform is designed to connect qualified buyers with properties and facilitate the ownership process.

5. Property Information and Listings

While we strive to provide accurate and up-to-date property information, all property details, photographs, descriptions, availability, pricing, and related information displayed on the Platform are subject to change without notice and may contain errors or inaccuracies. Property listings on the Platform do not constitute a binding offer to sell, lease, or transfer any property. Actual property conditions, features, and terms are subject to verification and may differ from information presented on the Platform. You should independently verify all property information before making any decisions.

6. Ownership Programs and Qualification

Participation in PPG ownership programs is subject to:

• Successful completion of our qualification process
• Verification of financial information and documentation provided
• Approval by PPG and any applicable financing partners
• Execution of separate legal agreements governing the specific program terms
• Compliance with all applicable federal, state, and local laws and regulations

Qualification through our Platform does not guarantee approval for any specific property or program. Program terms, including payment amounts, timelines, and conditions, will be detailed in separate binding agreements. PPG reserves the right to modify, suspend, or discontinue any program at any time.

7. Financial Terms and Payments

All financial terms, including but not limited to property prices, monthly payments, security deposits, fees, and financing terms, are estimates unless specified in a binding agreement. Actual terms are determined during the qualification and closing process and may differ from estimates shown on the Platform. You are responsible for all payments due under any agreements entered into through our Platform. Late or missed payments may result in fees, penalties, or other consequences as outlined in your specific agreement.

8. Intellectual Property Rights

All content on the Platform, including but not limited to text, graphics, logos, trademarks, service marks, images, photographs, software, data, and other materials (collectively, "Content"), is the property of Pied Piper Group LLC or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content without our prior written consent, except as permitted for personal, non-commercial use.

9. User Conduct

You agree not to use the Platform to:

• Violate any applicable federal, state, local, or international law or regulation
• Submit false, misleading, or fraudulent information
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Platform or servers or networks connected to the Platform
• Attempt to gain unauthorized access to any part of the Platform or any systems or networks
• Use any automated means, including robots, crawlers, or scrapers, to access the Platform
• Transmit viruses, malware, or any other harmful or disruptive code
• Harass, threaten, or intimidate any other user or PPG personnel

10. Third-Party Services

The Platform may contain links to third-party websites, services, or resources, including financing partners, insurance providers, and property service providers. These third-party services are not under our control, and we are not responsible for their content, privacy practices, or terms. Your interactions with third-party services are governed by their respective terms and policies. We encourage you to review the terms and privacy policies of any third-party services you access.

11. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SERVICES, AND INFORMATION PROVIDED THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PPG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PIED PIPER GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Pied Piper Group LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Platform, your violation of these Terms, your violation of any rights of a third party, or any content you submit through the Platform.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively in the state or federal courts located in DuPage County, Illinois. You consent to the personal jurisdiction of such courts and waive any objection to venue.

15. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Platform and updating the "Last Updated" date. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal agreements or notices published by PPG on the Platform, constitute the entire agreement between you and Pied Piper Group LLC regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral.
